Rob is a corporate partner in the Hong Kong office of Forbes Hare. He has broad experience of M&A and capital markets, fund formation, the establishment of international legal structures (of all types) and ancillary advice. He advises clients across a broad range of industries, from multi-national banks and financial institutions, asset management companies, to state-owned and privately-owned companies in mainland China and overseas. He has significant experience of Chinese business and culture, and the majority of his work involves structures or transactions with a Chinese component. He is happy to advise in English, Mandarin or Cantonese.

Corporate and Structuring

  • M&A and capital markets (in particular Hong Kong, NASDAQ and NYSE).
  • Investment fund formation, including closed and open-ended hedge fund and private equity structures.
  • Pre-IPO venture structures.
  • Asset management structures.
  • Regulatory advice, particularly in relation to funds and fund management, and complex compliance issues.
  • Advising corporate clients, family offices and private individuals with the establishment of international legal structures, including structures for foreign investment, wealth and asset holding, intergenerational wealth planning and asset protection.

Contentious Matters

A versatile lawyer, Rob regularly works alongside colleagues on contentious matters, particularly when a Mandarin or Cantonese-speaking point-of-contact is desired. Such work includes:

  • All types of company disputes, including shareholder and board disputes.
  • Investor/fund and investor/company disputes, including all facets of redemption-related disputes between venture investors and pre-IPO (and no-IPO) offshore companies.
  • Fraud and asset tracing (in connection with Chinese and non-Chinese assets).
  • Advising in connection with both debtor and co-obligor liabilities to banks and financial institutions.
  • Trust and estate disputes.

Rob previously worked for leading international law firms in Hong Kong and Australia.
